1. Overview

These Subscription & Purchase Terms ("Purchase Terms") apply to any paid features, subscriptions, usage-based services, pilot fees, facility subscriptions, enterprise licenses, family subscriptions, onboarding fees, professional services, storage plans, AI-processing features, familiar-voice personalization, or other paid digital services offered through Aiko, including the website located at aiko4u.com and any related applications, portals, interfaces, dashboards, devices, APIs, features, tools, documentation, support channels, and services (collectively, the "Service").

These Purchase Terms apply in addition to the Terms of Service, Privacy Policy, Acceptable Use Policy, Commercial Disclosure under Japanese Law, checkout terms, order forms, facility agreements, enterprise agreements, pilot agreements, and any other terms shown before purchase or agreed in writing.

If the Service is currently offered only as a pilot, beta, invitation-only, unpaid, discounted, or limited-access service, these Purchase Terms will apply when paid services are introduced or enabled.

If the Service is provided through a different operating entity, reseller, Merchant of Record, payment provider, facility partner, or enterprise contract, the applicable entity and terms may be identified at checkout, in an order form, or in a written agreement.

3. Nature of Paid Service

Aiko is a supervised, voice-first artificial intelligence (AI) companion and engagement service designed for older adults in adult day-service settings in Japan, including 通所介護 and 地域密着型通所介護 offices.

Paid services may include access to or increased limits for:

  • facility subscriptions;
  • enterprise licenses;
  • family subscriptions;
  • supervised voice sessions;
  • older-adult profile management;
  • family portal features;
  • facility console features;
  • staff reporting;
  • session summaries;
  • family summaries;
  • family content contribution;
  • AI-assisted conversation features;
  • speech-to-text processing;
  • text-to-speech processing;
  • optional familiar-voice personalization;
  • consent and audit tools;
  • support workflows;
  • onboarding and training;
  • integrations;
  • service-level arrangements where expressly agreed;
  • administrative or team functions;
  • other digital features disclosed at checkout or in an order form.

Specific paid features, limits, billing intervals, usage caps, access conditions, support levels, and delivery conditions will be stated before purchase, in the application, at checkout, in an order form, or in a written agreement.

4. Pilot, Beta, and Pre-Release Purchases

The Service may be sold or provided during pilot, beta, pre-release, proof-of-concept, test, discounted, or limited-access periods.

Unless a signed written agreement states otherwise:

  • pilot, beta, and pre-release services are experimental;
  • features may be incomplete, changed, suspended, or discontinued;
  • no production-grade availability, service-level agreement, uptime commitment, support commitment, continuity commitment, roadmap commitment, or feature commitment applies;
  • fees may cover limited access, onboarding, support, testing, reserved capacity, professional services, or evaluation rights, and do not guarantee commercial launch;
  • the Service provider may end or modify pilot or beta access for legal, operational, security, safety, commercial, vendor, compliance, or product reasons.

5. Merchant of Record and Payment Processing

Payments may be processed by a third-party Merchant of Record or payment provider.

Where a Merchant of Record is used:

  • the Merchant of Record may be the seller of record for transaction purposes;
  • the Merchant of Record may be responsible for billing, payment processing, tax calculation, tax collection, invoices, receipts, payment support, chargebacks, and refund handling;
  • the Merchant of Record’s terms and policies may apply to the transaction.

Where a payment processor is used without a Merchant of Record:

  • the Service provider remains the merchant unless otherwise stated;
  • the payment processor facilitates the transaction;
  • the payment processor’s terms and privacy policy apply to payment processing.

Applicable provider details will be disclosed at checkout where required.

6. Pricing and Billing

6.1 Pricing

All prices will be displayed before purchase, in the application, at checkout, in an order form, or in a written agreement.

Prices may be shown inclusive or exclusive of taxes depending on provider configuration, jurisdiction, and checkout presentation. Any applicable tax, fee, billing interval, subscription price, usage price, minimum commitment, setup fee, onboarding fee, professional-services fee, or total charge will be disclosed before purchase where required.

6.2 Billing Cycle

Subscriptions may be billed on a recurring basis, such as monthly, annually, or another interval disclosed at checkout or in an order form.

Billing frequency, renewal timing, payment amount, payment timing, and cancellation requirements will be disclosed before purchase.

6.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless canceled before renewal according to the applicable cancellation method and deadline.

By subscribing, you authorize recurring charges until cancellation.

6.4 Usage-Based Charges

Some features may be subject to usage-based charges or limits, including AI processing, speech processing, familiar-voice personalization, storage, number of profiles, number of facilities, number of users, number of sessions, integrations, support, or professional services.

Usage-based pricing and limits will be disclosed before purchase where applicable.

7. Checkout Disclosure

At the final purchase screen, in the application, in an order form, or in a written agreement, the following information will be presented where required:

  • total price;
  • billing interval;
  • payment timing;
  • automatic renewal conditions;
  • subscription term;
  • cancellation method;
  • refund conditions;
  • service delivery timing;
  • applicable taxes and fees;
  • usage limits;
  • support scope;
  • any other required purchase information.

You must review and confirm these details before completing a purchase.

8. Free Trials, Promotions, and Discounts

If a free trial, promotion, coupon, discounted pilot, or introductory offer is provided:

  • the duration, price, included features, and limits will be disclosed where required;
  • any automatic conversion to a paid subscription will be disclosed where applicable;
  • payment timing after the trial or promotion will be disclosed where applicable;
  • cancellation requirements before the trial or promotion ends will be stated where applicable;
  • the Service provider may modify or discontinue trials, promotions, discounts, or coupons at any time unless prohibited by law or agreed in writing.

Failure to cancel before the trial or promotion ends may result in charges if automatic conversion was disclosed before the trial or promotion began.

9. Cancellation

9.1 Cancellation Method

You may cancel a subscription through one or more available methods:

  • account settings;
  • billing portal provided by the payment provider;
  • Merchant of Record account or checkout portal;
  • facility or enterprise administrator controls;
  • by contacting contact@hyperailab.com;
  • another method stated at checkout, in an order form, or in a written agreement.

9.2 Effect of Cancellation

Cancellation stops future billing after the current billing period unless otherwise stated at checkout, by the payment provider, by the Merchant of Record, in an order form, or in a written agreement.

Cancellation does not automatically refund amounts already charged unless required by law or expressly stated in the applicable refund terms.

Access to paid features may continue until the end of the current billing period unless otherwise stated.

9.3 Facility and Enterprise Cancellation

Facility, operator, enterprise, pilot, or professional-services contracts may have separate cancellation, termination, minimum commitment, notice, renewal, and payment terms.

If there is a conflict between these Purchase Terms and a signed written agreement, the signed written agreement controls for that customer.

10. Refunds

Except where required by law or expressly stated at checkout, in an order form, by a Merchant of Record, by a payment provider, or in a written agreement:

  • fees are non-refundable;
  • partial billing periods are not refunded;
  • unused sessions, unused profiles, unused capacity, unused AI-processing limits, unused support, or unused storage are not refunded;
  • setup, onboarding, implementation, integration, professional-services, pilot, beta, or custom-development fees are not refunded;
  • cancellation stops future billing but does not reverse past charges.

Refund requests may be reviewed case by case but the Service provider has no obligation to provide refunds unless required by law or agreed in writing.

11. Taxes and Additional Costs

You are responsible for all applicable taxes, duties, levies, bank fees, card fees, currency conversion fees, foreign transaction fees, device costs, internet connection fees, carrier fees, data usage charges, and other costs not expressly included in the stated price.

If withholding taxes apply, you must pay amounts so that the Service provider receives the full amount owed unless a signed written agreement states otherwise.

12. Payment Failure

If payment fails, is reversed, is disputed, is charged back, or cannot be processed, the Service provider may:

  • retry payment;
  • suspend or restrict access;
  • downgrade features;
  • disable paid features;
  • terminate subscriptions;
  • recover amounts owed;
  • charge permitted recovery costs;
  • require updated payment information;
  • refer unpaid amounts for collection where lawful.

You are responsible for keeping billing and payment information accurate and current.

13. Service Delivery

The Service is provided digitally.

Access to paid digital features is granted:

  • immediately after successful payment confirmation;
  • within the period shown at checkout;
  • according to the delivery timing specified by a Merchant of Record or payment provider;
  • according to an order form or written agreement;
  • after required onboarding, facility setup, account activation, consent verification, technical readiness, supported device setup, or access approval.

Some features may require facility configuration, supported devices, network access, account activation, invitation, whitelist approval, consent records, staff training, third-party provider availability, payment confirmation, or successful processing of uploaded content.

14. Usage Limits and Fair Use

Paid plans may include limits on:

  • facilities or offices;
  • profiles;
  • family accounts;
  • staff accounts;
  • sessions;
  • minutes;
  • voice samples;
  • AI processing;
  • storage;
  • summaries;
  • reports;
  • API calls;
  • support;
  • integrations;
  • data retention;
  • export volume;
  • other usage metrics.

The Service provider may enforce limits, throttle usage, require plan upgrades, charge overage fees where disclosed, or suspend excessive, abusive, unsafe, or unauthorized use.

15. Changes to Pricing and Plans

The Service provider may change prices, plan names, features, limits, packaging, billing intervals, trial terms, discount terms, or payment methods.

For active subscriptions, changes will apply according to applicable law, checkout terms, payment-provider rules, notice requirements, order forms, or written agreements.

If you do not agree to a price or plan change, you must cancel before the change takes effect where cancellation is available.

16. No Outcome Guarantee

Payment for the Service does not guarantee:

  • reduction of loneliness;
  • improved well-being;
  • improved care outcomes;
  • improved family satisfaction;
  • reduced staff workload;
  • uninterrupted operation;
  • specific AI-output quality;
  • specific voice quality;
  • successful familiar-voice personalization;
  • regulatory approval;
  • procurement approval;
  • pilot success;
  • commercial launch;
  • any financial, operational, clinical, or care outcome.

17. Taxes, Invoices, and Records

Invoices, receipts, tax documents, and billing records may be provided by the Service provider, payment provider, or Merchant of Record.

You are responsible for downloading and retaining billing records needed for your own accounting, tax, procurement, reimbursement, or internal processes.

18. Chargebacks and Disputes

Before initiating a chargeback, you should contact contact@hyperailab.com or the applicable payment provider to resolve billing issues.

The Service provider may suspend or terminate access if a chargeback, payment dispute, fraud claim, or payment reversal occurs.

19. Termination of Paid Services

The Service provider may terminate, suspend, restrict, or discontinue paid services where:

  • payment fails;
  • terms are breached;
  • consent or authorization is missing, withdrawn, disputed, or invalid;
  • use creates legal, safety, security, operational, vendor, reputational, or compliance risk;
  • a pilot, beta, facility agreement, enterprise agreement, or family subscription ends;
  • required law, authority request, facility request, provider restriction, or payment-provider rule requires action.

Termination does not waive amounts owed before termination.
